Secretary of State of State Nellie M. Gorbea is warning Rhode Island business owners not to be misled by a deceptive letter that appears to come from an official government source. The letter is being mailed by an entity calling itself "Annual Business Services."
Several businesses have reported receiving the solicitation, which includes an official-looking form titled "2015 Annual Minutes." Recently, businesses reported a similar email solicitation originating from an entity calling itself ""Rhode Island Corporate Compliance (RICC)."
The form cites Rhode Island General Laws requiring corporations to keep records of accounts, minutes and the names and addresses of all shareholders and directs recipients to submit the form along with a $125 fee payable to "Annual Business Services."
The solicitation arrives at a time when Rhode Island's for-profit corporations must file annual reports with the Department of State's Business Services Division.
"We are constantly looking out for small businesses and don't want them to be misled into filing the form and paying the $125 fee thinking they are filing their annual report with us," said Gorbea. "That solicitation did not come from us. Companies must still file their annual report with the Department of State's Business Services Division."

La carta cita las leyes generales del estado de Rhode Island que requieren que las corporaciones conserven en archivo registros de cuentas, minutas y los nombres y direcciones de sus accionistas y beneficiarios directos e instruye al comerciante a someter el formulario junto con un pago de $125 a nombre de "Annual Business Services."
La carta coincide con el periodo en el cual las corporaciones comerciales de Rhode Island deben someter sus reportes anuales a la división de servicios empresariales (Business Services Division) del departamento de estado.
