PROVIDENCE, RI – Secretary of State Nellie M. Gorbea is warning Rhode Island businesses of a misleading mailing from a company calling itself "Rhode Island Certificate Services," with a Providence return address. The company is based in Florida and is targeting newly formed Rhode Island businesses. The mailings resemble a bill seeking payment for a Certificate of Good Standing, which can only be issued by Secretary Gorbea's office.
A Certificate of Good Standing confirms that an entity is compliant with all requirements to conduct business under its registered name in Rhode Island. A Certificate of Good Standing is not required to conduct business in the state, but may be required for certain transactions, such as applying for a loan or renewing a business license.
The misleading mailings from Rhode Island Certificate Services create a false sense of urgency with terms like "Notice Date" and "Please Respond By." The company then files for a Certificate of Good Standing with the Secretary of State's office on behalf of the unsuspecting Rhode Island business, and charges an exorbitant fee for doing so.
For example, the fee for a non-profit entity to obtain a Certificate of Good Standing from Secretary Gorbea's office is five dollars. Rhode Island Certificate Services charges $84.50 for the same service. Certificates can be obtained from Secretary Gorbea's office online, by phone, by mail, or in-person while socially distant.
"Rhode Island's recovery is tied to the health of our small businesses," said Secretary Gorbea. "I will not stand by while our entrepreneurs are gouged like this. The past year has been hard enough, so I want all Rhode Island business owners to know about this scheme."
Secretary Gorbea has flagged these misleading mailings for Attorney General Peter Neronha's Consumer Protection Unit. "We have seen instances like this before. A business masquerades as a government entity to make consumers believe they need to pay for something that the government provides either for free or at a much lower cost," said Attorney General Neronha. "It's deceptive and it cheats unsuspecting consumers out of their hard-earned money. It's our job to investigate these claims and, if appropriate, take action in court."
Any businesses affected by these mailings or who receive them in the future should contact the Attorney General's Consumer Protection Unit at 401-274-4400 or consumers@riag.ri.gov. Similar mailings have been sent to businesses in other states. Business owners should be wary of any unsolicited offer from a third party to perform services on their behalf. Most business filings can be done quickly and easily on Secretary Gorbea's Business Services website.

Sin embargo, la compañía tiene su sede en la Florida. Las correspondencias se dirigen a negocios de Rhode Island de creación reciente y se parecen a una factura que solicita el pago por un Certificado de Buen Estado Corporativo.
Un Certificado de Buen Estado Corporativo sólo puede ser emitido por la oficina de la Secretaria Gorbea. Se han enviado correspondencias similares a negocios de otros estados. Los comerciantes deben desconfiar de cualquier oferta no solicitada de una tercera parte para realizar servicios en su nombre.
